Please read these terms carefully before purchasing products or services from Akriti Precision Systems Private Limited.
1. Applicability and Contract Formation
These Terms and Conditions of Sales and Service ("Terms of Sale") govern all sales of CNC machinery, spindles, accessories, and technical services offered by Akriti Precision Systems Private Limited ("Akriti", "we", "us", or "our") through https://akriti.tech or direct commercial channels. By placing an order, issuing a Purchase Order (PO), or accepting a Proforma Invoice, you ("Buyer", "Customer") agree to be bound by these terms.
2. Eligibility
By placing an order, you represent and warrant that you have full legal capacity to enter into a binding contract under the Indian Contract Act, 1872, and that your purchase complies with applicable Indian laws and commercial regulations.
3. Pricing, Currency, and Tax Compliance
- Currency: All prices quoted on our website or commercial invoices are in Indian Rupees (INR ₹) unless explicitly specified in writing for export sales.
- Country of Origin: All manufactured CNC machinery is produced in India (Country of Origin: India).
- Goods and Services Tax (GST): Prices exclude GST and transportation unless specified. Applicable GST (CGST/SGST for intra-state sales within Karnataka, or IGST for inter-state sales) will be charged on the Tax Invoice in accordance with the CGST Act, 2017.
- Quote Validity: Commercial quotations and Proforma Invoices remain valid for 30 calendar days from issue date.
4. Payment Terms & Invoicing Workflow
Payment terms depend on the product category ordered:
- Machines & Included Accessories: 70% advance payment (inclusive of GST) upon order placement; remaining 30% balance cleared prior to dispatch.
- Spindles: 85% advance payment (inclusive of GST) upon order placement; remaining 15% balance cleared prior to dispatch.
- Accessories (Ordered Separately): 100% advance payment upon order placement.
- Accepted Payment Methods: Bank Transfer (NEFT / RTGS / IMPS), Credit Card (subject to a 3% transaction fee), and UPI.
- Invoicing Process: A Proforma Invoice is issued upon order acceptance. A GST-compliant Tax Invoice (Rule 46 of CGST Rules, 2017) is generated upon payment receipt and provided prior to dispatch. Buyers claiming Input Tax Credit (ITC) must submit accurate GSTIN details at order placement.
5. Production Lead Times & Dispatch
- Standard CNC Machines: Estimated dispatch within 15 to 25 working days from receipt of advance payment.
- Custom / High-Precision Machines: (Including models with high-precision ball screws, non-standard spindles, or custom options) Estimated dispatch within 45 to 90 working days from advance payment receipt.
- Lead times are operational estimates. Akriti will notify the Buyer of any unforeseen production delays beyond reasonable control.
6. Shipping & Delivery Terms (Ex-Works)
- Delivery Basis: All shipments are strictly Ex-Works (EXW Incoterms 2020) from our facility at Warehouse 3, Site #14/5, Kyalasanahalli, Doddagubbi Main Road, Bengaluru 560077, Karnataka, India.
- Risk Transfer: Risk of loss or damage passes to the Buyer as soon as goods are handed over to the third-party freight carrier.
- Freight Costs: Shipping charges are the responsibility of the Buyer, payable on a Freight Collect (To-Pay) basis or prepaid to Akriti upon request. Shipments occur only after receipt of 100% cleared full payment.
7. Warranty Coverage
Products are warranted against manufacturing defects under our Limited Warranty Policy. Standard CNC machines carry a 12-month warranty; PCB Precision Pro Series machines carry a 36-month warranty; Composite Superstructures carry a Lifetime Warranty. Third-party components are covered under their respective original manufacturer warranties.
8. Limitation of Liability
To the maximum extent permitted under Section 73 of the Indian Contract Act, 1872, Akriti shall not be liable for indirect, incidental, special, or consequential damages (including loss of production, profit, or operational downtime). Total liability is capped at the net invoice value of the specific product purchased.
9. Force Majeure
Akriti is not liable for failure or delay in fulfilling obligations due to events beyond reasonable control, including natural disasters, acts of God, strikes, lockouts, supply chain disruptions, or government restrictions.
10. Governing Law & Dispute Resolution
These Terms of Sale are governed by the laws of India. Any legal dispute or claim arising out of an order shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
